Solberra terms of service

1. What Solberra is

Solberra is an online marketplace where instructors and other creators sell photographs and video of their own classes, lessons and events to the people who took part and their families. Gavry LLC operates the marketplace, processes the payments and pays the creators. In these terms “we”, “us” and “Solberra” mean Gavry LLC; “you” means anyone who uses the site, as a creator, a buyer or a visitor.

2. Who can use Solberra

You must be 18 or older to create a creator account or to buy anything on Solberra. Buying does not require an account: a buyer pays as a guest and receives access by email.

Children may appear in the photographs and video sold here (see section 5). Children do not use Solberra themselves.

3. Payments: who you are buying from

Gavry LLC is the merchant of record for every sale on Solberra. When you buy, your contract of sale is with Gavry LLC, your payment is processed by Gavry LLC through its payment processor, Stripe, and “SOLBERRA” appears on your card statement.

Creators are paid out, not paid to. A creator is a payee: Gavry LLC collects the price, keeps its platform fee, and pays the balance to the creator’s connected payout account. A creator is not the seller of record.

Refunds and payment disputes are handled by Gavry LLC. Our refund policy is at solberra.com/refunds and forms part of these terms.

4. Fees and payouts (creators)

• Solberra charges a platform fee on each purchase: a percentage of the purchase price, or a minimum amount per purchase, whichever is higher. Your current rate and the current minimum are shown on your Finances page and beside the price field when you set a price. Tips pay the percentage only.
• Referrals can lower your percentage. The current rules are shown on your Finances page.
• Payouts go to the payout account you connect through Stripe. Stripe’s terms apply to that account. You are responsible for your own taxes on what you earn; tax forms, where required, may be issued by Stripe or by us as the law requires.
• When we refund a buyer in full, we recover the refunded amount from your balance or future payouts and return the platform fee on that sale to you. Our refund policy states when a refund keeps the buyer’s access and when it ends it.

5. What may be uploaded, and who may appear in it

Solberra permits media of people of any age, including children. What it does not permit is sexually explicit content, in any form, involving anyone.

Where any person under 18 appears in media you upload, you must have the agreement of that person’s parent or guardian to your selling it here. This applies whether the child is your student, a sibling in the background, or anyone else visible in the frame.

Your warranty. By uploading media to Solberra you represent and warrant that it contains no sexually explicit content; that for every person under 18 who appears in it, a parent or guardian has agreed to your selling it here; that you have the right to sell it, including any music in it; and that every identifiable adult in it has consented to your selling it.

Music. You may not sell media that contains music someone else owns the rights to, unless you hold a licence that covers selling it here. This applies to recorded music playing in your media and to performances of songs. Where our systems detect music, we may ask you to confirm your rights before the item can be sold. Your answer is your declaration under these terms, and you are responsible for it. You may upload a licence to keep with your account; we store what you upload. We may warn you if it does not look like a licence, but we do not verify it.

You confirm this for every album you publish, and again when you add to a published album. The statement you confirm reads: “I confirm that this album contains no sexually explicit content, and that for every person under 18 who appears in it, a parent or guardian has agreed to these images being sold on Solberra.” Solberra supplies a guardian consent form you may use to collect that agreement; you may upload signed copies to keep with the album. We store what you upload; we do not check what it says.

6. Screening, reports and legal obligations

Every upload is screened by automated systems for prohibited material before it can be published, and may be reviewed by a person. Screening is not a review of your consent records, which remain your responsibility under section 5.

Anyone may report media or an account to hello@solberra.com. We look at every report we receive.

Where the law requires us to report material to an authority, we do so, and we may preserve material for that purpose. Nothing in these terms limits that obligation.

7. If media violates these terms

We may remove media, unpublish the album containing it, or restrict its sale. Where a violation involves sexually explicit content, or a false attestation under section 5, we will remove the media and may suspend or terminate the creator’s account. We may also terminate an account used to defraud or abuse anyone, or to avoid the platform fee (section 9). We also remove media, or stop its sale, when we receive a valid copyright notice (section 17), and we terminate the accounts of creators who repeatedly infringe.

8. What buyers get

When you buy media you receive a personal, non-exclusive licence to keep, view, print and share it privately. You may not resell it, license it, or use it commercially.

Access is delivered by a link sent to the email address you gave at checkout. You may buy a whole album or individual items where the creator offers them; you are never charged twice for an item you already own from the same album. A whole-album purchase includes items the creator adds to that album later.

9. Pay only through Solberra

Every sale of media delivered through Solberra must be paid for on Solberra. A creator may not ask a buyer to pay part or all of the price by other means for media sold here, and a buyer should tell us at hello@solberra.com if asked. Doing so is a breach of these terms.

10. Free preview albums and public pages

A creator may publish a free preview album. Free preview albums are public: anyone can view them, they have a readable web address, and they may appear in search results. Priced albums are reachable only by their link.

11. “Find me”

On some albums you can upload a selfie to find the photos and videos you appear in. Your selfie is used only for that search and is deleted immediately afterwards. By using “Find me” you confirm that you are searching for yourself, or for your child as their parent or guardian. “Find me” is not offered in every region. Our privacy policy describes what is computed and kept.

12. Creator obligations, in one place

As a creator you are responsible for: holding the rights to everything you upload, including any music in it; section 5’s warranty about who appears in it; pricing honestly; delivering what your album promises; your own taxes; keeping your consent records; and not using Solberra to defraud or abuse anyone.

13. Your account and our service

Keep your sign-in secure; you are responsible for what is done through your account. We may change or discontinue features. We aim to keep Solberra available but do not promise uninterrupted service.

14. Liability

Solberra is provided as is. To the fullest extent permitted by law, Gavry LLC is not liable for indirect, incidental or consequential losses, and its total liability to you for any claim is limited to the amount you paid to Gavry LLC in the twelve months before the claim. Nothing in these terms limits liability that cannot be limited by law.

15. Changes to these terms

We may change these terms. If a change materially affects your rights or obligations, we will give notice by email to the address on your account and by notice in the service at least 30 days before it takes effect, except where a shorter period is required by law or to address a security or legal risk. If you do not accept a change, you may close your account before it takes effect. Continuing to use Solberra after the effective date means you accept the change. A change does not affect a completed sale or a licence already granted for media a buyer has purchased.

16. Disputes and governing law

These terms are governed by the laws of the State of North Carolina, USA. Any dispute will be brought exclusively in the state or federal courts located in North Carolina, and both parties consent to that jurisdiction.

17. Copyright complaints

We respond to notices of claimed copyright infringement under the Digital Millennium Copyright Act. The full process, in plain words, is at solberra.com/copyright.

If you believe media on Solberra infringes your copyright, send a written notice to our designated agent (below). It must include:

1. your signature, handwritten or electronic;
2. the work you say has been infringed;
3. the media you say infringes it, and its web address on our site;
4. your address, telephone number and email address;
5. a statement that you believe in good faith that the use is not authorised by the copyright owner, its agent or the law;
6. a statement that the information in your notice is accurate and, under penalty of perjury, that you are the owner or are authorised to act for the owner.

What we do. When a notice with those elements arrives, we promptly remove the item or stop its sale and display, tell the creator, and give the creator a copy of the notice.

If you are the creator and believe the item was removed by mistake or misidentification, you may send a counter-notice to the same agent. It must include: your signature; the item and where it appeared before it was removed; a statement under penalty of perjury that you believe in good faith it was removed by mistake or misidentification; your name, address and telephone number; and a statement that you consent to the jurisdiction of the federal district court for your address (or, if you are outside the United States, for any district in which Gavry LLC may be found) and that you will accept service of process from the person who sent the notice.

What happens then. We send your counter-notice to the person who sent the notice. We restore the item between 10 and 14 business days after we receive the counter-notice, unless that person tells us first that they have filed a court action against you over it.

Repeat infringers. We keep a record of the copyright notices we receive about each creator. We terminate, in appropriate circumstances, the accounts of creators who repeatedly infringe.

A warning the law gives both sides. Anyone who knowingly misstates that media is infringing, or that it was removed by mistake, may be liable for the damage that causes.
